Master Service Agreement & Terms of Service

Provider: Adam Master d/b/a AOP3D (“Company,” “We,” “Us,” or “AOP3D”)

Effective Date: 2026

This Master Service Agreement ("Agreement") governs all diagnostic, hardware, software, and data recovery services provided by AOP3D.

By checking the acceptance box, signing this form, or otherwise authorizing AOP3D to commence services, the Client (“You” or “Client”) agrees to be bound by the terms and conditions set forth below.

1. Authorization & Scope of Services

  • Authorization: You authorize AOP3D, its agents, and its technicians to perform diagnostic, repair, hardware, and software services on the equipment you surrender to us.
  • Right to Refuse Service: AOP3D reserves the right to refuse service to anyone, at any time, for any reason. This applies particularly if a device is deemed beyond economical repair or poses a safety hazard.

2. Assumption of Risk & Pre-Existing Conditions

  • Inherent Risks: You acknowledge that electronic repair carries inherent risks. Devices may fail entirely or become permanently inoperable during diagnostic or repair attempts.
  • Hidden Damage: AOP3D is not liable for issues arising from pre-existing conditions, including but not limited to microscopic fractures, microscopic liquid damage, failing solder joints, or component exhaustion (often referred to as "no-fix" scenarios).
  • Cosmetic Wear: AOP3D takes standard professional precautions but is not liable for minor cosmetic damage, scuffs, or standard wear-and-tear that may occur during the opening of sealed electronic devices.

3. Financial Terms & Strict Refund Policy

Zero Refund Policy: AOP3D enforces a strict no-refund policy on all services. Once work has commenced, time, expertise, and resources have been expended.

  • Labor & Diagnostics: All payments for labor, diagnostic fees, and data recovery attempts are 100% non-refundable, regardless of the final outcome or success of the repair.
  • Completed Work & Parts: No refunds, chargebacks, or partial credits will be issued once a repair or service is completed. Custom-ordered or installed parts are strictly non-refundable.

4. Data Loss Disclosure & Backup Mandate

  • Client Responsibility: You warrant that all data, software, and files have been completely backed up prior to surrendering the device.
  • Zero Data Liability: AOP3D operates under a strict "Zero Data Liability" policy. Under no circumstances shall AOP3D be held liable for the loss, corruption, deletion, or breach of any data, software, or personal/confidential information.
  • Best Effort Recovery: Data recovery services are strictly provided on a "Best Effort" basis. Fees are charged for the labor and attempt; success is not guaranteed, and a failure to recover data does not entitle the Client to a refund.

5. Possessory Lien & Abandoned Property

Possessory Lien: Pursuant to Massachusetts General Laws (M.G.L. c. 255, § 25), AOP3D asserts a legal possessory lien on all hardware. No equipment shall be released until all invoices are paid in full.

  • Storage Fees: Any equipment left in AOP3D's possession for more than thirty (30) calendar days after notice of completion (or notice of an "unrepairable" status) will incur daily storage fees of $5.00 per day.
  • Abandonment & Disposal: Equipment left beyond sixty (60) calendar days shall be deemed legally abandoned. AOP3D may, at its sole discretion, sell, recycle, or dispose of abandoned property to offset storage costs and unpaid labor. All data on abandoned devices will be irreversibly destroyed prior to disposal.

6. Limited Warranty & Voidance

Labor Warranty: AOP3D offers a 7-day limited warranty solely on the specific labor performed by our technicians. This warranty does not cover replacement parts (which are subject strictly to their respective manufacturer warranties) or software-related issues.

Warranty Voidance: This limited warranty is immediately and permanently voided if:

  • The device is opened, altered, or tampered with by the Client or any third party other than AOP3D.
  • The device sustains new physical damage, liquid exposure, or electrical surges.
  • Issues arise from software manipulation, malware, or operating system updates post-repair.

7. Limitation of Liability & Indemnification

  • Damage Cap: To the maximum extent permitted by law, the cumulative liability of Adam Master d/b/a AOP3D for all claims shall not exceed the actual amount paid by the Client for the specific service out of which the claim arose.
  • Exclusion of Damages: AOP3D is completely exempt from liability for indirect, incidental, punitive, or consequential damages, including but not limited to loss of business, downtime, loss of profits, or loss of "sentimental value."
  • Indemnification: You agree to indemnify, defend, and hold harmless Adam Master and AOP3D from any third-party claims arising from services performed on your device, including but not limited to software licensing violations, copyright infringement, or the presence of illegal content.

8. Communications & Marketing (TCPA Compliance)

By providing your contact information and accepting this Agreement, you expressly consent to receive administrative, transactional, and promotional communications from AOP3D via email and SMS text messaging.

Opt-Out: You may opt out of promotional emails by clicking "Unsubscribe" at the bottom of the email, and you may opt out of SMS marketing by replying "STOP" to any text message. Standard message and data rates may apply.

9. General Legal Provisions

  • Force Majeure: AOP3D shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to acts of God, supply chain delays, severe weather, or power outages.
  • Severability & Entire Agreement: If any provision is found unenforceable, it shall be limited to the minimum extent necessary so the Agreement otherwise remains in full effect. This document supersedes all prior agreements.
  • Electronic Signature: Checking the agreement box on this form constitutes a legally binding electronic signature under the Massachusetts Uniform Electronic Transactions Act (M.G.L. c. 110G).
  • Jurisdiction & Venue: Governed by the laws of the Commonwealth of Massachusetts. Legal proceedings shall be filed exclusively in Essex County, Massachusetts.
  • Attorney’s Fees: In any action to enforce this Agreement or collect unpaid debts, the Client shall be liable for AOP3D’s costs of collection, including reasonable attorney’s fees and court costs.
